If you are using CoreLIMS on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

CoreLIMS is a Laboratory Information Management System designed to help laboratories manage samples, workflows, results, and compliance requirements. The service includes:

- Results entry, validation, and reporting
- Quality management and audit trails
- Integration capabilities with laboratory instruments
- Analytics and business intelligence features
3. User Accounts
3.1 Account Creation
To access CoreLIMS, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Security
You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorised access or security breach.
3.3 Account Termination
We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion, with reasonable notice where possible.
4. Acceptable Use
You agree to use CoreLIMS only for lawful purposes and in accordance with these Terms. You must not:
- Use the service in any way that violates applicable laws or regulations
- Attempt to gain unauthorised access to any part of the service
- Interfere with or disrupt the integrity or performance of the service
- Transmit any malicious code, viruses, or harmful content

5. Data and Privacy
5.1 Your Data
You retain ownership of all data you input into CoreLIMS. You grant us a limited licence to use this data solely to provide and improve our services.
5.2 Data Processing
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including UK GDPR. For clinical data, you remain the data controller.
5.3 Data Protection Agreement
Where required, we will enter into a Data Processing Agreement with you to ensure compliance with applicable data protection requirements.
6. Intellectual Property
6.1 Our Rights
CoreLIMS, including all software, documentation, and associated materials, is owned by Infonote Datasystems Ltd and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the service in accordance with these Terms.
6.2 Restrictions
You may not copy, modify, distribute, sell, or lease any part of our service or included software, nor may you reverse engineer or attempt to extract the source code.
7. Service Availability
We strive to maintain high availability of CoreLIMS but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime or service interruptions.
8. Fees and Payment
8.1 Subscription Fees
Access to CoreLIMS requires payment of subscription fees as set out in your service agreement. Fees are invoiced in advance and are non-refundable except as required by law.
8.2 Price Changes
We may change our fees upon 90 days' written notice. Continued use of the service after a price change constitutes acceptance of the new fees.
9. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability to you for any claims arising from these Terms or use of the service shall not exceed the fees paid by you in the 12 months preceding the claim
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- We are not liable for any loss of data, profits, or business opportunities
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify and hold harmless Infonote Datasystems Ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the service or violation of these Terms.
11. Changes to Terms
We may modify these Terms at any time by posting the revised version on our website. Material changes will be notified to you at least 30 days before they take effect. Continued use of the service after changes become effective constitutes acceptance of the modified Terms.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
